Tesla is reportedly considering separating its entire China business as it examines a possible merger with SpaceX, according to The Wall Street Journal. The separation could reduce regulatory complications because SpaceX is a US defence contractor subject to strict citizenship and national security requirements.
Executives Asked to Prepare for Possible Separation
Some Tesla executives have been told to prepare for a separation of the company’s China operations, the newspaper reported, citing unnamed sources. The options could include a spinoff, sale or closure of the business.
Tesla may be able to complete the separation relatively quickly because preparations had already begun under a separate contingency plan. Chief executive Elon Musk previously instructed executives to prepare for a split if Beijing invaded Taiwan, according to the report.
The Wall Street Journal did not report that Tesla had reached a final decision. The discussions remain part of preparations linked to a possible combination with SpaceX.
SpaceX Merger Could Raise Security Concerns
Separating the China business could make it easier to integrate Tesla into SpaceX. SpaceX works with the US government and defence agencies, requiring the company to follow tighter rules involving foreign operations, national security and employee citizenship.
Tesla’s large presence in China could create complications under those requirements. A separate China operation could reduce the direct connection between SpaceX and Tesla’s manufacturing and commercial activities in the country.
China Plays a Major Role in Tesla’s Operations
A separation would represent a major operational change because China is one of Tesla’s main vehicle markets. The country also hosts a major production base that supplies customers in China and other regions.
Tesla’s Shanghai factory produces vehicles for markets across Asia and Europe. The company identifies Gigafactory Shanghai as its first factory outside the United States on its official manufacturing page.
The China business supports Tesla’s manufacturing, sales and exports. A spinoff, sale or closure would require the company to reorganise a substantial part of its international production and distribution operations.
