Palo Alto Networks in Talks to Acquire Clutch Security for $500 Million

Palo Alto Networks is reportedly negotiating to acquire AI security startup Clutch Security for approximately $500 million in cash, with additional payments tied to performance milestones. The potential acquisition would expand the cybersecurity company’s capabilities for protecting AI agents and managing their access to enterprise systems.

The Information first reported the discussions, with TechCrunch subsequently confirming the proposed financial terms through a person familiar with the negotiations. Neither company has publicly confirmed an agreement, and the discussions may not result in a completed transaction.

Clutch Security Valued at Nearly 50 Times Annual Revenue

Founded in 2023, Clutch Security develops software that helps organizations monitor and secure non-human identities, including AI agents accessing corporate applications, databases, and cloud infrastructure.

Its platform identifies authentication credentials, tracks access permissions, and detects potential security vulnerabilities associated with automated systems. These capabilities are designed to help companies manage risks as AI agents increasingly interact with sensitive business information.

Clutch was valued at approximately $85 million when it raised $20 million in Series A funding in January 2025, led by Lightspeed Venture Partners and SignalFire. The startup is now approaching $10 million in annual recurring revenue, according to a person familiar with its finances.

At the proposed $500 million purchase price, the transaction would value Clutch at approximately 50 times its annual recurring revenue, excluding additional milestone payments. The figure represents a substantial increase from its previous funding valuation.

Palo Alto Networks Continues Acquisition Activity

If completed, the transaction would represent Palo Alto Networks’ seventh acquisition in 2026, according to PitchBook. The company has been expanding its cybersecurity capabilities through acquisitions targeting AI security, enterprise software, and infrastructure monitoring.

In September, Palo Alto Networks acquired Console, a startup developing AI agents for IT help desk automation, in a transaction valued at approximately $500 million.

Other acquisitions this year include Embrace for $325 million, observability platform Chronosphere for $2.95 billion, and cybersecurity startup Koi for $231 million. These transactions involved venture-backed companies specializing in different areas of enterprise technology and security.

AI Agent Security Attracts Major Acquisitions

Clutch operates in a cybersecurity segment focused on managing authentication credentials and access permissions for autonomous software agents. These systems can access corporate resources and execute tasks, creating additional security requirements for businesses deploying AI.

Several competitors have attracted substantial acquisition offers. Cyera, a cybersecurity company valued at $12 billion earlier in 2026, acquired AI identity security startup Oasis Security for $1 billion.

Cisco also reportedly acquired Astrix, a security startup backed by Menlo Ventures, for approximately $400 million. Meanwhile, cloud security company Upwind recently declined an acquisition offer from Datadog that reportedly valued the business at approximately 40 times its annual recurring revenue.

The proposed Clutch transaction remains under discussion, with no confirmed signing date, completion timetable, or final purchase terms.
